Alterations To Articles

Alterations of Company Share Capital and Amendments to the Memorandum and Articles of Association

There is many an instance for the need to reorganise the company in either capital, constitutional or shareholding requirements.

  • Sale of a business, mergers and acquisitions
  • Introduction of new shareholders
  • Increase in share capital
  • Conversion to PLC from a private company and other reclassifications of the company
  • Introduction of new share classes, for instance, Class B ordinary shares, non voting Rights or rights to assets upon dissolution
  • Change to the Memorandum and Articles of The Company e.g. objects clauses or pre Emption rights
  • Change of name of the Company

Every situation is unique to the individual company and we will be pleased to discuss the requirements for each case. We will then produce all the minutes, resolutions, new Memorandum and Articles and other Company House forms as required for signature and filing. We will on completion produce new copies of the revised Memorandum and Articles for you and your client.

As all cases are unique, a price will be quoted on application, most start from just £40 plus VAT.
